1. Who We Are

AYVIL Solutions ("AYVIL", "we", "us") is operated by Jefferey Avilov, based in Calgary, Alberta, Canada. We provide done-for-you communication automation services to trades businesses.

These Terms and Conditions govern your use of ayvil.ca and your engagement with AYVIL's services. By booking a call, signing a service agreement, or engaging AYVIL in any capacity, you agree to these terms.

2. Services

AYVIL builds, manages, and maintains automated communication systems for trades businesses. Services are delivered in phases, beginning with Phase 1 — Lead Recovery.

A full description of services, deliverables, go-live timelines, and inclusions are outlined in the Service Agreement signed at engagement. These Terms and Conditions apply alongside that Agreement.

3. Pricing and Payment

All pricing is confirmed on the Stripe invoice sent at signing and referenced in your Service Agreement. Monthly fees are due on the same date each month as the Agreement start date.

Late payments beyond 7 days may result in service suspension. AYVIL will notify you by email before any suspension is applied.

Add-on services — including SMS overage, unscheduled consultation calls, custom change requests, additional phone numbers, and priority support — are billed separately and are only applied with your prior written confirmation. No surprise charges.

4. 30-Day Performance Guarantee

If the system does not pay for itself in the first 30 days, you pay nothing for that month.

7. SMS and CASL Compliance

By signing a Service Agreement with AYVIL, you authorize AYVIL to send automated commercial SMS messages to callers who contact your business phone number, on your behalf and under your business name.

You warrant that callers to your business number have implied consent to receive follow-up communications under Canada's Anti-Spam Legislation (CASL), as they initiated contact with your business. You accept full responsibility for your customer relationships and any disputes arising from contacts within your own business.

AYVIL acts solely as a contracted service provider. You agree to indemnify and hold AYVIL harmless from any third-party complaints, claims, or regulatory actions arising from messages sent under your authorization.

8. Data and Privacy

AYVIL collects and processes caller phone numbers and related lead information solely for the purpose of delivering agreed services. Data is not sold, shared, or used for any purpose outside of service delivery.

Full details of how we collect, use, store, and protect data are outlined in our Privacy Policy, which forms part of these Terms.

Sub-processors used to deliver services include Twilio, N8N, Google Workspace, Brevo, Calendly, and Stripe. AYVIL is not liable for data handling failures originating from these third-party platforms.

9. Intellectual Property

All automation workflows, systems, templates, and infrastructure built by AYVIL remain the intellectual property of AYVIL Solutions. Upon cancellation, all systems are fully deactivated and removed within 48 hours.

You retain full ownership of your own business data, contacts, and all leads generated during the engagement at all times.

10. Limitations and Disclaimer

AYVIL does not guarantee a specific number of recovered leads, bookings, or revenue outcomes. Results depend on factors outside AYVIL's control including call volume, lead quality, market conditions, and your responsiveness to leads.

AYVIL is not liable for downtime or errors caused by third-party platforms including Twilio, Brevo, Google, Calendly, or N8N. AYVIL will make reasonable efforts to resolve third-party issues promptly and communicate any outages.

Limitation of Liability: To the maximum extent permitted by applicable law, AYVIL's total cumulative liability to you for any claims arising out of or related to this Agreement — whether in contract, tort, or otherwise — shall not exceed the total fees paid in the most recent billing month. AYVIL shall not be liable for any indirect, incidental, consequential, or special damages of any kind. This limitation does not override the 30-day performance guarantee in Section 4.

11. Confidentiality

Both parties agree to keep the terms of any Service Agreement and shared business information confidential and not disclose it to third parties without prior written consent.

12. Governing Law

These Terms and any Service Agreement are governed by the laws of the Province of Alberta, Canada. Any disputes will be resolved in Alberta under Canadian law.

13. Changes to These Terms

AYVIL may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
